Membership Terms and Conditions

1.0         Definitions and Interpretations

1.1         In this agreement and for the future correspondence between the parties to this agreement the following terms shall have the following meaning:

“Additional Fees” means the further fees payable by You for the services which You have elected or may elect from time to time to obtain from or via SJStone T/A (as offered by SJStone T/A from time to time.

“Additional Services” means any services as may be introduced and made available by SJStone T/A from time to time.

“Agreement” means these terms and conditions and/or any terms agreed by SJStone T/A in writing.

“Business Days” means a day (other than a Saturday or Sunday) when banks are open for the transaction of normal banking business in London, United Kingdom.

“Business Profile” means a profile that has been populated with a user’s contact information.

“Commencement Date” means the date SJStone T/A accepts your first request for the services.

“Fees” means the charges payable by You for the services as agreed by SJStone T/A, including without limitation the Monthly Fees, Additional Fees (if any), monthly subscription and the annual subscription as applicable. These fees may be amended from time to time by SJStone T/A with 20 Business Days prior written consent;

“Guarantee or Assurance” means quality, quantity, benefit as more particularly defined in section 6.1(f).

”New Business Venture Client” means a third party that is using the our facility to search for a product and/or service.

“Member and Consultant” means a business or entity that has a business profile on website, that is promoting their products or services to our New Business Venture marketplace.

“Service” means the standard service provided by SJStone T/A

“Services” means the Service and Additional Services You have elected to take or which You subsequently elect to take from time to time either by phone or in writing.

(a)         We, together with our licensors, own and control all the copyright and other intellectual property rights in our website and the material in our website; and

(b)         All the copyright and other intellectual property rights in our website and the material on are reserved.

4.0         License to our website

4.1         You may;

(a)         View pages from in a web browser;

(b)         Download pages from for caching in a web browser;

(c)          Stream audio and video files from our website;

(e) Use (use our website services) by means of a web browser.

Subject to other provisions of these Terms and Conditions.

4.2         Except as expressly permitted by 3.1 or other provisions of these Terms and Conditions, you must not download any material from our website or save any such material to your computer.

4.3         You may not use our website as a data base for your own personal and business purposes, and you must not use our website for any other purposes.

4.4         Except as expressly permitted by these Terms and Conditions, you must not edit or otherwise modify any material on our website excluding your business profile.

4.5         Unless you own or control the relevant rights in the material, you must not:

(a)         Republish material from our website including republication on another website;

(b)         Sell rent or sub-license material from our website;

(c)          Show any material from our website in public;

(d)         Exploit material from our website for a commercial purpose; or

(e)         Redistribute material from our website.

4.6         You may redistribute our newsletter in print and electronic form to any person.

4.7         We reserve the right to restrict access to areas on our website, or indeed our whole website, at our discretion; you must not circumvent or bypass, any access restriction measures on our website.

5.0         Acceptable use

5.1         You must not:

(a)         Use our website in any way or take any action that causes, or may cause, damage to the website or impairment of the performance, availability or accessibility of the website.

(b)         Use our website in a way that is unlawful, illegal, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.

(c)          Use our website to copy, store, host, transmit, send use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software.

(d)         Conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) or in relation to our website without our express written consent.

(e)         Access or otherwise interact with our website using any robot, spider or other automated means, except for the purpose of search engine indexing.

(f)          Violate the directives set out in the robots.txt file for our website.

(g)          Use data collected from our website for any direct marketing activity (including without limitation email marketing, SMS marketing, telemarketing and direct marketing).

5.2         You must not use data collected from our website to contact individuals, companies or other person or entities that are marketing on our platform for your own personal gain.

5.3         You must ensure that all the information you supply to us through our website, or in relation to our website, is true, accurate, current, complete and non-misleading.

6.0         Enquiries

6.1         You also agree and accept:

(a)         Any enquires that we feel are relevant to your sector and location size and scope of project and the deadlines that a client is working to can be passed to you via the contact information that you have populated onto your business profile.

(b)         We would require your feedback within two Business Days if you are receptive to any enquiries that we refer to you or from a New Business Venture Client who contacts you directly. If however you are unable to commit to a New Business Venture Client then you would be required to inform us within the two business day timeframe so we can refer the Client to our next closest member. You are not permitted to pass the Client onto another third party or member without consulting us first or have us without having written permission from SJStone T/A

(c)          A New Business Venture is also able to contact our members directly via their online profile. Our New Business Venture Clients are made aware to include as much detail as possible when contacting a member via our platform.

(d)         We will expect you to represent a geographical radius covering your postcode as one of our available members, in addition your services will be made visible to our New Business Venture Client base online on a regional basis.

(e)         We expect regular correspondence between you and SJStone T/A, including a monthly update from you to monitor our progress together.

(f)          We believe in transparency so cannot predict, assure or guarantee the projected number of New Business Venture clients requesting a service from a Member directly or indirectly via SJStone T/A within any given area over the duration of your membership.

(g)          We are not a party to any contract for the sale or purchase of goods or services entered between you and a supplier.

(h)         We do not check, audit, or monitor the accuracy of information from any third parties’ details that that we pass onto a Member.

(i)           We do not have any further involvement between out New Business Venture Clients and our Members once an enquiry has been sent or referred from us directly. This also goes for any companies that contact you directly from our online platform.

(j)           And accordingly we will not be liable to our New Business Venture Clients in relation to any loss or damage arising out of any use of a members website, any information provided by a member, any information provided of any third parties information to our members, any offer made by a member, or any contract between a New Business Venture Client and a member.

(k)          We are not responsible for the enforcement of any obligations arising out of a contract between a member and any third party, and we will have no obligation to mediate between the parties to any such contract.

7.0         Guarantee

7.1         SJStone T/A Guarantee’s that it will provide to your nominated email address on a monthly basis the details of all companies registered with companies house in the previous month in the post codes region that you have membership for. This will be in excel format and will contain the following information, Company Name, Registered Address, Telephone Number, and Email Contact.

7.2         SJStone T/A Guarantee’s to provide details of the Subscribers to that have taken up a free subscription. Under the Terms of the Subscription it is explained that the subscribers details will be passed onto the Members of for their postcode region.

7.3        If conditions 7.1 and 7.2 aren’t met, a request for a return of the months subscriptions for each of those months will be considered at the end of the 12 month Term on request.

8.0         Business Profile

8.1         Each editorial Business Profile must be a profile in respect of what the company that has registered as a user for with and relevant to what sector/service you have registered with us for.

8.2         Any listing that doesn’t meet this criteria could be charged an additional fee at the discretion of SJStone T/A

8.3         You must keep your Business Profile up to date using our website interface.

8.4         Any submissions that include offensive language or break any of our Terms and Conditions will be removed and may lead to suspension and / or termination of your account with no refund given.

8.5         You may edit your content to the extent permitted, you can do this via your login where you can make these changes yourself under the “Search for Supa Consultants” tab on website. You can also contact us directly with any updated editorial / contact information by emailing, we will aim to update this within one Business Day. We cannot however guarantee this due to unforeseen circumstances or situations beyond our control.

8.6         SJStone T/A will only upload a basic Business Profile with the contact information you have provided upon registration and we will not be held liable if a member hasn’t fully populated their own Business Profile.

8.7         We may show our funding partners who we work with from time to time, however, apart from this only a staff member of SJStone T/A, members of the platform and our New Business Venture Clients will be able to view your Business Profile and contact you via the information you have supplied onto this facility.

9.0         Registration and accounts

9.1         By becoming a member you confirm that you are resident or situated in the United Kingdom.

9.2         You must not allow any other person to use your account to access the website.

9.3         You must notify us in writing immediately if you become aware of any unauthorised use of your account.

9.4         You must not use any other person’s account to access the website.

10.0       User login details

10.1       Upon registration you will be assigned a user ID and be generated a password that you are able to change once logged in.

11.0       Business Verification

11.1. You acknowledge that to verify your business we will need to send the following to within 30 days of registration.

(a)         A copy of your indemnity and/or liability insurance with a minimum of 1 month remaining on the policy.

(b)         Three or more references from clients that you have previously supported within the last 5 years. These can be testimonials from your website, or other marketing materials. Facebook, Instagram or Twitter

(c)          If applicable, a copy of your certification/ accreditation for your line of work.

11.2 You also accept that the verification process can take up to 14 working days to complete. If verification is going to go over the 14 days, we will notify you via email confirming that the verification process Is going to take longer than planned and give you another estimated completion date.

12.0       Contract Term & Cancellation

12.1       Once you’re registered and your Business Profile is put live then a Member will be tied into a twelve-month contract with us unless agreed otherwise on the invoice or in written confirmation from SJStone T/A Your membership will be reviewed at least 60 days prior to the expiry date of the membership where we will conduct an assessment and if both parties conclude that the relationship has been of mutual benefit you will be offered the opportunity to maintain your profile with SJStone T/A for a second year, however neither party is obliged to represent each other for a second year or after the membership expiry date providing notice is given as set out in section 11.2 in these Terms and Conditions.

12.2       There are no exit fees subject to the minimum of 60 days’ notice before your contract end date and no more than 90 days’ notice before your contract end date.

12.3       This contract shall be governed by the laws of England and the parties agree to submit to the exclusive jurisdiction of the English Courts. All our transactions are “Business to Business” and as such a cooling off period does not apply.

12.4       SJStone T/A shall not be liable to you in respect of any event of default for:

(a)         loss of profits; or

(b)         loss of goodwill; or

(c)          loss of data; or

(d)         any type of special, indirect or consequential loss even if such loss was reasonably foreseeable or SJStone T/A have been advised of the possibility of you incurring the same.

13.0       Fee’s & Charges

13.1       The person making the contract is doing so with the full authority on behalf of the customer, or in the case of the customer being a trading entity of another company the customers legal owner, proprietor or holding company.

13.2       The fee to the member is to represent a single service with us for a 12 months Business Profile under a service/ product category with access to members section via the username and password supplied after registration to manage and edit your editorial Business Profile. All our fees are not inclusive of VAT.

13.3       Payment is to be paid upon joining SJStone T/A during registration and is processed through mPos or via BACH’s Payment.

13.4       Invoices are sent via email to the account holder; however, a member may choose to receive a hard copy invoice which is chargeable at £5.00 each.

13.5       At the discretion of SJStone T/A, if we agree for the balance to be paid upon producing an invoice then payment is due upon receipt. Accounts that remain unpaid 7 days after the date of the invoice will be assessed and a service charge of eight percent (8.0%) of the total amount outstanding until the invoice is settled. You will also be charged any additional fees that are relevant to your arrangement in sections 12.6, 12.7 and 12.8.

13.6       Accounts unpaid 30 days after the date of invoice will be considered as in default. If the member in default maintains any information or files on SJStone T/A ( web space, SJStone T/A, at its discretion, may remove all such material from its web space. SJStone T/A will send you a letter of notice and if no payment is received within 7 days then we shall start legal proceedings and will pass your information on to a third-party debt collection agency.

13.7       In circumstances in which a payment plan has been agreed then instalments must be made by the due date outlined on the invoice. If any instalment is late or defaulted there will be a £30 admin fee for us to send you a late payment notice. In addition to this you will be charged a service charge of the total amount outstanding of 8.0 percent. In addition to any other charges as set out in these Terms and Conditions. SJStone T/A will send you a letter of notice and if no payment is received within 7 days then we shall start legal proceedings and will pass your information on to a third-party debt collection agency.

13.8       SJStone T/A is not responsible for any loss of data incurred due to the removal of the service. Removal of such material does not relieve any member of the obligation to pay any outstanding charges assessed to the account. Cheques returned for insufficient funds will be assessed and a return charge of £25 will be added, the members account will immediately be considered to be in default until full payment is received.

13.9       Members with accounts in default agree to pay SJStone T/A reasonable expenses, including legal fees and costs for collection by third-party agencies, incurred by SJStone T/A in enforcing these Terms and Conditions.

14.0       Disputes

14.1       If you dispute any payment made to us, you must contact us immediately and provide full details of your claim, you can do this by emailing Alternatively, you can also write to us via recorded delivery to: SJStone T/A, Whittington Road, Oswestry, Shropshire, SY111HY. We will acknowledge receipt of your dispute via letter. We will then respond to your dispute within 14 working days from the date of our acknowledgement receipt. 15.0       Chargeback & Cancellation Fee’s

15.1       If you make an unjustified credit, debit card or other charge-back then you will be liable to pay us within (7 days) following the date of our written request:

(a)         an amount equal to the amount of the charge-back;

(b)         all third party expenses incurred by us in relation to the charge-back (including charges made by our or your bank or payment processor or card issuer);

(c)          an administration fee of (GBP) 40.00 + VAT.

(d)         all our reasonable costs, losses and expenses incurred in recovering the amounts referred to in section 11.6. (including without limitation legal fees and debt collection fees),

(e)         And for the avoidance of doubt, if you fail to recognise or fail to remember the source of an entry on your card statement or other financial statement, and make a charge-back as a result, this will constitute an unjustified charge-back for the purposes of this section 11.6.

15.2       If you owe us any amount under or relating to these Terms and Conditions, we may suspend or withdraw the provision of services to you.

15.3       We may at any time set off any amount that you owe to us against any amount that we owe to you, by sending you written notice of the set-off.
